By accessing either website, requesting a quote, submitting an inquiry, creating an account, scheduling transportation, or using any service provided by Redkey Express LLC, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, please do not use our websites or services.

1. Services

Redkey Express LLC provides transportation, delivery, logistics, freight, courier, student transportation, warehousing, distribution, and related services through its Redkey Express and Redkey Transportation Services operations.

Services may include, but are not limited to:

Same-day and next-day delivery

Last-mile delivery

Expedited and direct transportation

Courier services

Time-sensitive transportation

Scheduled and routed transportation

Dedicated transportation

Full truckload (FTL) and less-than-truckload (LTL) transportation

Freight transportation

Warehousing and distribution

School district student transportation

Student pickup and drop-off services

Transportation services for school districts and educational organizations

Other transportation, logistics, and delivery services offered by Redkey Express LLC

Specific services, equipment, pickup and delivery requirements, pricing, schedules, and other conditions may vary depending upon the service requested and the customer's requirements.

2. Redkey Express LLC and Related Operations

Redkey Express LLC may conduct business and provide services under the names Redkey Express and Redkey Transportation Services.

Redkey Express LLC is responsible for the work, services, personnel, vehicles, operations, and business activities conducted through these operations, subject to applicable contracts, transportation documents, laws, and regulations.

The use of the Redkey Express or Redkey Transportation Services name does not create a separate legal entity from Redkey Express LLC.

Where these Terms refer to "Redkey Express," the term may include services and operations conducted under the Redkey Transportation Services name.

3. Quotes and Pricing

Quotes provided by Redkey Express LLC are based on the information supplied by the customer and may be affected by factors including, but not limited to:

Pickup and delivery locations

Mileage and routing

Shipment size and weight

Number of pieces

Type of freight

Equipment required

Delivery timeframe

Number of stops

Waiting time

Loading or unloading requirements

Special handling requirements

After-hours, weekend, or holiday service

Access requirements

Changes to the shipment or transportation request

Unless otherwise stated in writing, a quote is an estimate based on the information available at the time of quoting.

If shipment or service details change, or if additional services or charges become necessary, Redkey Express LLC reserves the right to adjust the final charges accordingly.

4. Customer and Shipment Information

Customers are responsible for providing accurate and complete information regarding each shipment or transportation request.

Information may include:

Pickup and delivery addresses

Passenger pickup and drop-off information, where applicable

Contact information

Shipment dimensions

Weight

Number of pieces

Description of goods

Special handling instructions

Required delivery or transportation date and time

Purchase order or reference numbers

Loading and unloading requirements

Access, security, or delivery restrictions

School district or student transportation information, where applicable

The customer is responsible for ensuring that all information provided to Redkey Express LLC is accurate and complete.

Incorrect, incomplete, or misleading information may result in additional charges, delays, refused service, or cancellation.

5. Customer Responsibilities

Customers are responsible for properly preparing, packaging, labeling, documenting, and securing shipments before transportation unless otherwise agreed in writing.

Customers must ensure that shipments are ready for pickup at the scheduled time and that pickup and delivery locations are reasonably accessible to the equipment being used.

For transportation services involving students, passengers, school districts, or educational organizations, customers are responsible for providing accurate information and complying with applicable policies, procedures, and requirements communicated by Redkey Express LLC.

6. Prohibited and Restricted Shipments

Customers may not tender any shipment that is illegal, improperly declared, unsafe, or prohibited by applicable law or regulation.

Prohibited or restricted items may include, without limitation:

Illegal drugs or controlled substances

Explosives

Unlawful weapons

Hazardous materials that have not been properly declared and approved

Flammable, radioactive, or otherwise dangerous materials

Stolen goods

Contraband

Perishable goods requiring temperature-controlled transportation unless specifically arranged in advance

Animals or live organisms unless specifically approved

Any item prohibited by applicable federal, state, or local law

Redkey Express LLC may inspect, refuse, delay, remove, or otherwise take appropriate action regarding a shipment when reasonably necessary to protect people, property, vehicles, facilities, or to comply with applicable law.

Customers are responsible for accurately declaring hazardous materials and other regulated commodities before shipment.

7. Pickup, Delivery, and Transportation Times

Redkey Express LLC makes reasonable efforts to meet scheduled pickup, transportation, and delivery times.

Transportation schedules may be affected by traffic, weather, road closures, mechanical issues, customer delays, loading or unloading conditions, governmental requirements, accidents, acts of third parties, or other circumstances beyond Redkey Express LLC's reasonable control.

Unless expressly agreed otherwise in writing, pickup, transportation, and delivery times are estimates and are not guaranteed.

A delay does not automatically entitle the customer to a refund, credit, or cancellation of charges.

8. Waiting Time, Detention, and Additional Services

Additional charges may apply when a driver, vehicle, or other Redkey Express LLC resource is required to wait beyond the time included in the quoted service or when additional services are requested or required.

Additional charges may include:

Waiting or detention time

Additional stops

Re-delivery attempts

Address changes

Inside delivery

Liftgate or specialized equipment

Loading or unloading assistance

Special handling

Storage

After-hours service

Weekend or holiday service

Additional mileage

Tolls, permits, or other transportation-related expenses

Customers may contact Redkey Express LLC for applicable rates and conditions.

9. Cancellations and Changes

Customers should notify Redkey Express LLC as soon as possible regarding any cancellation, rescheduling, address change, shipment change, passenger transportation change, or other modification.

Depending on the timing and circumstances of the change, cancellation or other charges may apply.

Once a vehicle, driver, or other resource has been dispatched, the customer may be responsible for charges associated with the dispatch, travel, waiting time, or other services already performed.

10. Payment

Customers agree to pay all charges associated with services provided by Redkey Express LLC in accordance with the applicable quote, invoice, customer agreement, credit agreement, transportation agreement, or other written arrangement.

Unless otherwise agreed in writing, invoices are due according to the payment terms stated on the invoice.

Redkey Express LLC reserves the right to suspend or refuse future services for accounts with overdue balances.

Customers are responsible for reasonable collection costs, including applicable fees and expenses, to the extent permitted by law.

11. Cargo and Property

Customers are responsible for properly preparing and securing goods for transportation.

Redkey Express LLC will use reasonable care in transporting customer property. However, Redkey Express LLC is not responsible for loss or damage caused by circumstances outside its reasonable control or by the acts or omissions of the customer, shipper, consignee, manufacturer, packer, loader, or other third party, except as otherwise required by applicable law or a controlling written agreement.

Transportation services may be subject to applicable federal and state laws, regulations, tariffs, bills of lading, shipping documents, service agreements, and other transportation terms.

Where a written transportation agreement, bill of lading, tariff, or other applicable shipping document establishes specific terms governing a shipment, those terms may control to the extent they conflict with these website Terms.

12. Claims for Loss or Damage

Any claim involving loss, damage, shortage, or other shipment-related issues should be reported to Redkey Express LLC as soon as reasonably possible.

Customers may be required to provide supporting documentation, including:

Shipment or tracking information

Proof of delivery

Photographs

Invoices

Repair estimates

Proof of value

Packaging information

Other documentation reasonably requested by Redkey Express LLC or its insurer

Claims will be reviewed in accordance with applicable law, transportation regulations, contracts, bills of lading, tariffs, insurance requirements, and other applicable terms.

Nothing in these Terms is intended to waive or alter any rights or obligations that cannot legally be waived or modified.

13. Storage and Unclaimed Shipments

If a shipment cannot be delivered because of an incorrect address, refusal, lack of access, failure to receive the shipment, or another circumstance outside Redkey Express LLC's control, the shipment may be returned, held, or placed into storage.

Additional transportation, storage, handling, redelivery, or other applicable charges may apply.

Redkey Express LLC may take reasonable steps permitted by law to address shipments that remain unclaimed or for which charges remain unpaid.

14. Student Transportation and School Services

Certain transportation services provided through Redkey Transportation Services are designed for school districts and educational organizations.

Where applicable, student transportation services may be subject to separate service agreements, school district requirements, transportation policies, applicable laws and regulations, and other written agreements.

These Terms do not replace or supersede any specific agreement between Redkey Express LLC and a school district or educational organization.

15. Third-Party Services

Redkey Express LLC may use third-party service providers, technology platforms, payment processors, tracking systems, communication services, warehousing partners, or transportation providers in connection with certain services.

Redkey Express LLC is not responsible for the independent acts, omissions, outages, or failures of third-party providers except to the extent required by applicable law or an applicable written agreement.

16. Website Use

The Redkey Express and Redkey Transportation Services websites are provided for general informational and business purposes.

You agree not to:

Use either website for unlawful purposes

Attempt to gain unauthorized access to the websites or related systems

Interfere with the operation or security of the websites

Submit false, misleading, fraudulent, or malicious information

Introduce viruses, malware, or other harmful code

By providing your telephone number or email address and submitting information through a Redkey Express LLC website, you may consent to receive communications relating to your inquiry, shipment, transportation service, account, requested services, and other business communications.

Where applicable, SMS messages may include appointment, shipment, delivery, transportation, account, service, or customer-support communications.

Message and data rates may apply. Message frequency may vary.

You may opt out of SMS marketing or other recurring text communications by replying STOP. You may reply HELP for assistance.

Consent to receive marketing communications is not a condition of purchasing goods or services.

Redkey Express LLC will handle personal information in accordance with its Privacy Policy and applicable law.

These links are provided for convenience and do not necessarily constitute an endorsement or recommendation.

Any liability relating to transportation of goods or passengers may be subject to applicable federal and state laws, regulations, insurance requirements, transportation agreements, bills of lading, tariffs, and other applicable written agreements.

Nothing in these Terms limits liability that cannot legally be limited.

24. Indemnification

To the extent permitted by applicable law, customers agree to defend, indemnify, and hold harmless Redkey Express LLC, its officers, employees, agents, contractors, affiliates, and representatives from claims, damages, liabilities, costs, and expenses arising from:

Information supplied by the customer that is false or misleading

Improperly packaged or prepared shipments

Prohibited or undeclared goods

Customer violations of applicable law

Customer misuse of the websites

Customer violation of these Terms

Customer's acts or omissions in connection with a shipment or transportation service

This provision does not require indemnification to the extent caused by Redkey Express LLC's own conduct where such indemnification would be prohibited by law.

25. Force Majeure

Redkey Express LLC will not be responsible for delays, interruptions, or failures in performance caused by circumstances beyond its reasonable control, including but not limited to:

Severe weather

Natural disasters

Floods

Fires

Accidents

Road closures

Traffic conditions

Government actions

Labor disputes

Acts of war or terrorism

Civil disturbances

Public health emergencies

Equipment or infrastructure failures

Utility or telecommunications failures

Acts or omissions of customers, shippers, consignees, vendors, or other third parties

Redkey Express LLC will make reasonable efforts to resume service when circumstances permit.

26. Changes to These Terms

Redkey Express LLC may update these Terms from time to time.

Updated Terms will be posted on this page with a revised effective date. Your continued use of the websites or services after changes are posted constitutes acceptance of the updated Terms to the extent permitted by law.

27. Governing Law

These Terms shall be governed by and interpreted in accordance with applicable federal transportation laws and the laws of the State of Ohio, without regard to conflict-of-law principles, except where applicable federal law or a controlling transportation agreement requires otherwise.

Any dispute will be subject to the jurisdiction of courts having appropriate jurisdiction over the matter and the parties, unless otherwise required by applicable law or an applicable written agreement.

28. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

29. Entire Agreement

These Terms, together with any applicable quote, invoice, bill of lading, customer agreement, transportation agreement, service agreement, tariff, Privacy Policy, and other written terms applicable to a particular shipment or service, constitute the applicable agreement between the parties concerning the subject matter addressed herein.

Where a specific written transportation agreement or shipping document contains terms that conflict with these website Terms, the specific agreement or applicable transportation document will control to the extent of the conflict.
